For general information about All Pro, see our web page at The successful candidate will work with other attorneys, owners, and staff to establish legal needs, generate entity documentation, and provide sound legal advice.

The preferred candidate will have knowledge of and demonstrated experience
in general corporate and business entity matters including entity formation (LLC & LLLP), structuring, drafting and review of operating agreements, governing documents, bylaws, minutes, and other similar corporate documents as well as experience in equity raising, purchase and sale transactions, corporate governance, contracts drafting, and review. This position will support a broad practice area and include the reviewing, drafting, and modifying a full range of documents used in All Pro’s business endeavors. Our ideal candidate will be adept at handling a wide array of transaction documentation. The successful candidate will be expected to document various real estate, asset sale, equity raising, and finance transactions as well as necessary supporting and ancillary documentation and should have knowledge of basic debt and equity financing methods and structures.

The position will be a member of All Pro Capital’s legal team in its support of raising equity from investors into various for-profit ventures to provide a reasonable return upon the investors’ capital.


  • 3-5 years practicing law with experience handling a wide array of corporate and other entity transactions, preferably in entity creation and real estate.

  • Experience in an in-house legal department is a plus.

  • Demonstrated team player with strong leadership and organizational skills.

  • Knowledgeable attorney with experience that has made you determined, professional, well informed, attentive, and proactive.

Your Knowledge:

  • Juris Doctorate from an accredited university
  • Licensed to practice law in the state of Colorado

Your Skills and Abilities:

  • Excellent drafting skills coupled with the ability to formulate, consider, and select the most appropriate solutions.

  • Ability to “think outside of the box” to provide innovative solutions to complex issues.

  • Ability to work independently and also collaboratively as part of a team conducting research, providing input and advice, and preparing legal documents.

  • Strong organizational and technology skills and a self-starter with the ability to prioritize/manage workflow to meet deadlines.

  • Top candidates will display natural leadership qualities with superb interpersonal, written, and speaking skills.
